Jas Bhogal

Jas is a corporate partner who helps start-ups, high-growth businesses and investors navigate fundraising, investment and the corporate issues that arise as businesses scale.

She has specialised in corporate law since qualifying as a solicitor in 2006 and has spent more than 12 years working closely with growth companies, venture capital investors, investment platforms and individual and corporate investors.

Jas advises on:

• shareholders’ agreements
• corporate governance
• founder rights and protections
• corporate matters arising throughout a business’s growth and exit journey.

Investment work is a particular focus of Jas’s practice. She has supported many businesses from start-up through successive stages of growth to eventual exit, helping founders understand and manage the risks that come with bringing new investors into a business.

Her experience gives her insight from both sides of the investment process. Earlier in her career, Jas spent two years on secondment to Birmingham-based fund manager Midven, acting as its sole legal counsel. This gave her first-hand experience of fund structures, investment criteria and how investors assess potential opportunities.

Jas uses that perspective to tailor her advice depending on whether she is acting for the company raising investment or the investor providing it. She helps clients focus not only on getting the deal completed, but on making sure the arrangements put in place will support the relationship between the parties after completion.

She has particular experience negotiating the governance arrangements that sit behind investment transactions, helping founders and investors agree how decisions will be made, how their respective rights will be protected and how the business will operate as it grows.

Jas has worked with businesses across a range of sectors, including technology, life sciences and healthcare, manufacturing, food and drink, hospitality and retail and leisure.

Before joining Harper James, Jas worked at Shakespeare Martineau, following her qualification with MFJ Solicitors. It was during her secondment to Midven that she developed the particular interest in investment work that has shaped much of her career.

Outside work, Jas enjoys spending time with family and friends, travelling and experiencing different cultures. She also enjoys entertaining and regularly hosts dinner parties with her family, often using them as an opportunity to try something new in the kitchen.
