This is a career paralegal role that and would suit someone with extensive experience within a similar corporate paralegal role or someone with a Company Secretarial background.

What you'll do

Key Responsibilities

You will play a crucial role in supporting our corporate team within a varied paralegal role.

Your responsibilities will include, but are not limited to:

  • Identification of resolutions and filings for particular transactions and reporting these to Corporate Solicitors and Partners.
  • Preparation of routine board minutes and shareholder resolutions.
  • Circulation of board minutes and shareholder resolutions to the client’s board and shareholders by Docusign.
  • Management of the passing of board resolutions and shareholder resolutions on behalf of clients.
  • Ensure timely filings with Companies House both in relation to the above and as part of post completion processes for:
    • Investments
    • Acquisitions
    • Granting of security
  • Take ownership of management and updating of company statutory registers on behalf of clients, both in relation to legal work undertaken by the Corporate team and as part of a stand alone service for clients, including proactive management of annual Confirmation Statements.

What does the ideal candidate look like

  • Significant experience in corporate governance from a company law perspective.
  • Experience of working within a corporate team as a career paralegal or in a company secretarial role.
  • An ICSA or Company Law Paralegal qualification would be desirable but not necessary if you have significant experience directly applicable to the role.
  • Experience with company filing requirements as you will be responsible for identifying all necessary filings.
  • Strong IT skills (proficient with Office 365 and can adapt to new systems quickly)
  • Enthusiasm and willingness to learn.
  • Proficiency in document management, and case management software.
  • Excellent communication, written and interpersonal skills.
  • Strong attention to detail and the ability to work effectively and remotely in a fast-paced environment.
  • Organisational skills and the ability to prioritise tasks and meet deadlines.
  • Self-motivated and comfortable working remotely.
